Opensea NFT Terms: The One Hit A Day Collection

1. Introduction

Welcome to Dufr Digital, the home of DJ Dufreezy's groundbreaking "One Hit A Day" project. These Terms of Sale ("Terms") govern your purchase of a non-fungible token ("NFT”) from the “One Hit A Day” collection (the “Collection”) on the Opensea marketplace. These NFTs represent a unique digital collectible and grant you specific rights and perks related to a musical composition created by DJ Dufreezy.

By purchasing an NFT from this Collection, you (“Holder,” “you,” or “your”) expressly agree to be bound by these Terms and all applicable laws. If you do not agree with these Terms, you may not purchase or hold an NFT from this Collection.

2. The Project: One Hit A Day

DJ Dufreezy is on a 10-year mission to create one AI-fueled song every day, drawing inspiration from global events and cultures. This project will result in 3,650 unique tracks, each minted as a corresponding NFT. The future of music is community-driven, and these Terms outline how you can be a part of it.

3. What You Own

When you purchase an NFT from the Collection, you own the NFT itself as a digital token on the blockchain. Ownership of the NFT is governed by the smart contract and the license granted herein. The copyright to the underlying musical composition (the “Song”) is not sold to you and remains with Dufr Digital and its licensors.

4. License & Co-Ownership Perks

Your purchase of an NFT grants you, for as long as you verifiably own the NFT, a worldwide, non-exclusive, royalty-bearing license to the associated Song, including the following specific perks and rights:

Partial Co-Ownership: A 5% share of the publishing rights and royalties generated from the Song. This includes revenue from streaming platforms (Spotify, Apple Music, etc.), synchronization licenses (use in film, TV, games, advertising), and other mechanical royalties.

Holder Status & VIP Recognition: Official "Holder" status with VIP recognition on DJ Dufreezy's applicable social media platforms.

Broadcast Rights: The right to publicly play and broadcast the Song on your personal social media or streaming channels.

Adaptation Rights: The right to create and share your own cover versions of the Song.

Exclusive DJ Rights: The right to publicly perform the Song at live events or on radio broadcasts.

Metaverse Usage Rights: The right to use the Song within virtual worlds or metaverse environments.

Merchandise License: A license to create and sell merchandise (e.g., t-shirts, posters) using the Song’s lyrics and the NFT's associated artwork, limited to a personal, non-mass scale.

Holder Discounts: Access to discounts on official DJ Dufreezy merchandise.

Airdrops & Bonuses: Eligibility for special airdrops or bonus rewards if the Song hits certain revenue milestones, to be determined at Dufr Digital's sole discretion.

Access to Audio Files: Access to download the raw .wav master file and individual audio stems of the Song for the purpose of creating and sharing your own remixes. This access must be requested by the verified Holder through our official Discord channel at: https://dufr.cc/discord-nft.

5. Royalty Distribution

Royalties from the Song’s exploitation (your 5% share) will be collected by Dufr Digital or its designated agent. Distributions to the Holder of record will be made once per year, on the anniversary of the NFT's original minting date. Payments will be made in ETH, USDT or USDC to the Ethereum wallet address that holds the NFT on the distribution date.

Please Note: If the accrued royalty amount for a given year is less than $5.00 (USD), the payment will be deferred and added to the following year's distribution. No payments will be issued for amounts under $5.00 until the cumulative total meets or exceeds that threshold.

6. Important Notes on Song Distribution

Curation Process: Not every Song created daily will be commercially distributed on streaming platforms (e.g., Spotify, Apple Music, Amazon Music). Approximately five (5) Songs per month will be selected for distribution, either by DJ Dufreezy or via community vote on the official Discord, Telegram, or Skool channels.

Value-Triggered Distribution: If the floor price or a verified sale price of an NFT from the Collection exceeds $2,500 (USD), the associated Song will be submitted for commercial distribution within the following 30 days.

Holder Responsibility: It is the Holder’s responsibility to check the official project channels to confirm if their NFT's Song has been selected for distribution. Distribution is a key factor in generating royalties. Check if listed here https://dufr.cc/distro

7. Restrictions

The license granted is subject to the following restrictions. You may not:

Use the Song to create, endorse, or imply a connection to hate speech, violence, illegal activity, or other offensive material.

Use the Song or the NFT in a way that infringes on any third-party rights.

Register any trademark, copyright, or otherwise attempt to claim exclusive intellectual property ownership in the Song or associated artwork.

Use the Song as the theme or core identity for another commercial music artist or project.

8. Disclaimer of Warranties & Limitation of Liability

THE NFT AND ALL RELATED ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DUFR DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL DUFR DIGITAL, ITS AFFILIATES, OR DJ DUFREEZY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR PURCHASE, USE, OR INABILITY TO USE THE NFT.

9. Changes to Terms

Dufr Digital reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and posting the new Terms on our website and official social channels. Your continued ownership of the NFT after such changes constitutes acceptance of the new Terms.
